These Terms and Conditions ("Agreement") govern your use of UrbanTasker ("Platform") operated by UrbanTasker Technologies Inc ("Company"). By accessing or using the Platform, you agree to be bound by these terms and conditions. If you do not agree with any part of this Agreement, you must not use the Platform.

Description of Services

UrbanTasker offers a family of online services to match individuals and families with various service providers(called as "taskers"), including, but not limited to plumbers, hvac, electricians, snow removing services etc (collectively referred to as "Services"). UrbanTaskers's Services allows individuals and/or entities seeking home services to post their tasks and get quotes from the Service Providers("Taskers"). UrbanTaskers's Services also allow individuals and/or entities providing home services ("Taskers") to place their offers for the tasks on the Website to facilitate matching with those Users who are seeking services.

UrbanTasker's Services facilitate the matching of Service Seekers and Service Providers by providing search functions to allow Service Seekers to find the appropriate Tasker based on their preferences and needs. UrbanTasker's Service also involves providing a platform to facilitate the initial and ongoing communication between Service Seekers and Taskers ("Messaging Platform"). Through the Messaging Platform, Users can engage with one another without disclosure of their e-mail or phone number. UrbanTasker reserves the right to re-post a User's Service advertisement on external third-party websites for the purposes of ensuring exposure of the User's request and/or provision of Services. Any such re-posting on an external third-party websites will not include Personal Information (as defined below) of the Users.

UrbanTasker is not a party to the relationship between the Service Seeker and Tasker. UrbanTasker shall not, in any way, be liable to a Service Seeker or Tasker or any other third party, arising, either directly or indirectly from such employment or independent contractor agreement between the parties.

UrbanTasker does not verify, review, evaluate, interview, screen or perform any background checks on any of its Users or the content posted by the User on the Platform. You assume all risks associated with dealing with other persons whom you come in contact with through the Services of UrbanTasker's Platform.

Account Registration

• To use the Platform, you must register an account and provide accurate and complete information.
• You are responsible for maintaining the confidentiality of your account information and are fully responsible for all activities that occur under your account.
• You agree to promptly notify the Company of any unauthorized use of your account or any other breach of security.

Removal of Account

• The Company may terminate or suspend your access to the Platform at any time, without prior notice, for any reason. Termination of your account does not relieve you of any payment obligations incurred prior to termination.
• Upon your request, and following a thorough review, we may update or remove your personal data or other information from our active database. However, please note that some of your personal data may remain in certain secure databases. In such cases, we will ensure the data is permanently inaccessible to any third parties. Additionally, you may have the option to edit your stored personal information by accessing your account settings on the Site.

CANCELLATION Urbantasker may, at its sole discretion, cancel or suspend any of your privileges related to the use of the Services in whole or in part for any reason, including without limitation, the non-compliance with these Terms of Use, the Consumer Review Guidelines, and User Conduct.

By using or accessing the Service, you agree to receive communications from other users and Urbantasker via the Service or through other channels, such as email, push notifications, text messages (including SMS and MMS), and phone calls. These communications may include promotions for Urbantasker or businesses listed on Urbantasker and may be initiated by Urbantasker, businesses, or other users. You acknowledge that some communications may be sent using an automated telephone dialing system, and you may incur charges from your phone carrier for certain messages or calls. You agree to promptly inform us if any phone number you provided is changed or disconnected. Additionally, please note that communications with Urbantasker, including phone calls made through the Service, may be monitored or recorded for quality assurance purposes.

Restrictions You are prohibited from using the Services to harass or intimidate other users, upload illegal content, alter Service materials, distribute spam, or access user data without authorization. When using the Services, you agree not to:

• Assist, encourage, or enable others to violate these Terms.
• Impersonate any individual or entity, including but not limited to Urbantasker staff or representatives.
• Copy, plagiarize, or infringe upon the intellectual property rights of others, including rights related to copyright, trademarks, patents, trade secrets, moral rights, privacy, and publicity.
• Use automated or manual methods to access, copy, process, or extract data or content from the Services or other users without authorization.
• Collect, share, transfer, or distribute any personal data of other users without their explicit consent.
• Manipulate search results, post fake or defamatory reviews, engage in keyword spamming, or trade reviews with other businesses.
• Upload or share content that: 1. Violates intellectual property rights or applicable laws and regulations. 2. Exploits the Services in unauthorized ways. 3. Promotes discrimination, racism, hatred, harm, or violence. 4. Threatens or exploits minors. 5. Encourages illegal, fraudulent, or inappropriate behavior. 6. Contains obscene, pornographic, or objectionable material.
• Modify, reproduce, distribute, translate, or create derivative works of the Services’ content (except your own reviews) without Urbantasker’s explicit permission.
• Remove or alter any copyright, trademark, or proprietary notices displayed on the Services.
• Distribute unsolicited advertisements, spam, or chain letters.
• Introduce viruses, malware, or other harmful software to the Services.
• Reverse engineer, decompile, or attempt to access the underlying code of the Services.
• Perform actions that impose excessive load on Urbantasker’s infrastructure or disrupt normal operations.
• Bully, intimidate, or harass users, or threaten legal action in retaliation for reviews posted on the Services.
• Use the Services for any unlawful activity or in a manner that violates these terms and conditions, policies or rules.
• Participate in illegal activities, misconduct, dishonesty, or unethical business practices with Urbantasker, its users, or any third party, including but not limited to sharing user personal information without consent.
• Breach any applicable federal, provincial, local, or other laws and regulations. You are prohibited from using the Services in ways that disrupt other users’ ability to enjoy them. Additionally, you must not attempt to gain unauthorized access to any Services, accounts, systems, or networks associated with Urbantasker through hacking, password mining, or other unauthorized methods. Urbantasker reserves the right to determine and remove any data, content, or information from the Services if it is found to violate these restrictions.

User Conduct

• You agree to use the Platform in compliance with all applicable laws and regulations.
• You shall not engage in any activity that may interfere with or disrupt the Platform or the services provided through it.
• You shall not use the Platform to transmit or distribute any harmful, unlawful, or inappropriate content.
• You are solely responsible for any content you post on the Platform, and you grant the Company a non-exclusive, royalty-free license to use, modify, and display such content.

Service Provider Listings

• Service providers are responsible for creating accurate and detailed listings for the services they offer.
• The Company does not endorse or guarantee the quality, suitability, or reliability of any service provider or their services.
• Service providers agree to provide their services in a professional and timely manner, adhering to any agreements made with users.
• You are solely responsible for background verification and due diligence of the service provider.

User Reviews and Ratings

• Users may leave reviews and ratings for service providers based on their experiences.
• Reviews and ratings must be honest, fair, and based on personal experiences.
• The Company reserves the right to moderate, remove, or edit reviews and ratings that violate these terms or are deemed inappropriate.

Payments and Fees

• Service providers may be required to pay fees to the Company for using the Platform or receiving leads.
• Users shall pay service providers directly for the services rendered.
• The Company is not responsible for any disputes or issues related to payments between users and service providers.

Intellectual Property

• The Platform and all its content, including but not limited to logos, trademarks, and software, are the property of the Company.
• You may not copy, modify, distribute, or use any content from the Platform without the prior written consent of the Company.

Provider Quotes

1. We expect our providers to engage and constructively discuss the customer requirements and then discuss directly on phone if required.
2. Any links to competitor platforms will be removed and warning will be issued to the account holder. Multiple warnings could lead to account suspension of the provider.

Termination

• The Company may terminate or suspend your access to the Platform at any time, without prior notice, for any reason.
• You may terminate your account by contacting the Company's support team.
• Termination of your account does not relieve you of any payment obligations incurred prior to termination.

Limitation of Liability

YOU ACKNOWLEDGE THAT ANY USE OF OR RELIANCE ON THIS WEBSITE OR THE SERVICES IS COMPLETELY AT YOUR OWN RISK. YOU YOURSELF ARE RESPONSIBLE FOR VETTING THE PROVIDERS THAT YOU ARE CONSIDERING FOR YOUR JOBS.

UNDER NO CIRCUMSTANCES SHALL URBANTASKER("THE COMPANY) BE LIABLE TO YOU OR TO ANY OTHER PARTY, FOR ANY LOSSES, COSTS OR DAMAGES OF ANY KIND OR NATURE WHATSOEVER THAT ARE SUFFERED OR INCURRED IN ANY CONNECTION WITH THE USE OF (OR THE INABILITY TO USE) THE PLATFORM, SERVICES, OR ANY URBANTASKER CONTENT OR THIRD PARTY CONTENT (REGARDLESS OF THE FORM OF ACTION OR THEORY OF LIABILITY, INCLUDING FOR BREACH OF CONTRACT, TORT, NEGLIGENCE, EQUITY, STRICT LIABILITY, BY STATUTE OR OTHERWISE AND REGARDLESS OF THE OCCURRENCE OF A FUNDAMENTAL BREACH OR FAILURE OF ESSENTIAL PURPOSE).

UrbanTasker's Services facilitate the matching of Service Seekers and Service Providers by providing search functions to allow Service Seekers to find the appropriate Service Provider based on their preferences, needs, and location. UrbanTasker is not a party to THE RELATIONSHIP BETWEEN SERVICE SEEKER AND SERVICE PROVIDER, and shall not, in any way, be liable to a Service Seeker or Service Provider or any other third party, arising, either directly or indirectly from such employment or independent contractor agreement between the parties.

IN NO EVENT WHATSOEVER SHALL ANY OF URBANTASKER, ITS DIRECTORS, OFFICERS, EMPLOYEES, SHAREHOLDERS, AFFILIATES, AGENTS AND THIRD-PARTY CONTRACTORS, SUPPLIERS AND LICENSORS (COLLECTIVELY THE "COMPANY PARTIES") BE LIABLE FOR ANY SPECIAL, EXEMPLARY, PUNITIVE, CONSEQUENTIAL, INCIDENTAL OR INDIRECT DAMAGES OF ANY KIND OR NATURE WHATSOEVER THAT ARE SUFFERED OR INCURRED IN ANY CONNECTION WITH THE USE OF PLATFORM OR THE PROVISION OF THE SERVICES (INCLUDING IN ANY CONNECTION WITH THE TRANSMISSION OR DOWNLOADING OR STORAGE OF ANY DATA OR SUBMISSIONS TO OR FROM THE PLATFORM OR THE USE OF, OR RELIANCE ON, ANY URBANTASKER CONTENT OR OTHER INFORMATION OR DATA CONTAINED ON OR PROVIDED THROUGH THE PLATFORM, OR SERVICES, OR LOSS OF OR DAMAGE TO FILES OR DATA OR ANY COSTS OF RECOVERING OR REPRODUCING ANY FILES OR DATA OR LOSS OF USE OR LACK OF AVAILABILITY OF SERVICES OR ANY BUSINESS INTERRUPTION OR LOSS OF REVENUE OR PROFIT OR ANY OTHER ECONOMIC LOSS WHATSOEVER) HOWEVER CAUSED AND REGARDLESS OF THE FORM OR CAUSE OF ACTION AND WHETHER OR NOT FORESEEABLE, EVEN IF THE URBANTASKER PARTIES OR ANY OF THEM HAS BEEN INFORMED IN ADVANCE OR OUGHT REASONABLY TO HAVE KNOWN OF THE POTENTIAL FOR SUCH DAMAGES.

Indemnification

You agree to indemnify and hold UrbanTasker, its parents, subsidiaries, affiliates, officers and employees, harmless from any claim, demand, or damage, including reasonable legal fees, asserted by any third party due to or arising out of the Users use of or conduct respecting the Services, and Platform.

Modifications

• The Company reserves the right to modify or update this Agreement at any time without prior notice.
• Any modifications to this Agreement will be effective immediately upon posting on the Platform.
• Your continued use of the Platform after any modifications constitute your acceptance of the modified Agreement.

Privacy

• The Company respects your privacy and handles your personal information in accordance with its Privacy Policy.
• By using the Platform, you consent to the collection, use, and disclosure of your personal information as described in the Privacy Policy.

Governing Law and Jurisdiction

• Any dispute, controversy or claim arising out of or in connection with this Agreement, including any question regarding its existence, validity or termination, shall be finally settled by arbitration in Singapore in accordance with the Arbitration Rules of the Ontario Canada for the time being in force, which Rules are deemed to be incorporated by reference 2 into this clause. The number of arbitrators shall be one or two. The seat of arbitration shall be Singapore.
• Class Action Waiver: To the fullest extent allowed by applicable law, you agree to resolve disputes only on an individual basis and not to: initiate, join, or participate in any class or representative action, collective arbitration, or any other legal proceeding where someone acts on behalf of others (such as private attorney general actions); or combine or consolidate individual cases, nor allow an arbitrator to do so, unless Urbantasker and all parties involved in the other actions or arbitrations provide explicit consent.
• Any claims will be resolved on an individual basis only, and ALL USERS WAIVE THE RIGHT TO BRING A CLAIM AS A CLASS REPRESENTATIVE, AS PART OF A CLASS ACTION, ON A COLLECTIVE OR AGGREGATED BASIS, OR AS A PRIVATE ATTORNEY GENERAL, OR TO COMBINE ARBITRATION PROCEEDINGS WITHOUT THE CONSENT OF ALL PARTIES INVOLVED. Any decision made by the Arbitrator will be final, binding, and conclusive on all parties. In any arbitration proceeding under these terms, each party will typically bear its own costs and expenses, unless the Arbitrator decides otherwise. However, Urbantasker retains the right to initiate and pursue any legal or equitable action in a court with proper jurisdiction if, in Urbantasker’s judgment, such action is necessary or beneficial. Additionally, a User may choose to file an individual claim in a small claims court, provided the dispute falls within the court's jurisdiction, and the court has personal jurisdiction over the matter. Urbantasker does not waive any defenses related to the lack of jurisdiction in the User's chosen court.
• Other Websites and Services: The Services may include links and features that allow you to access third-party websites or services ("Third-Party Services") that are not operated or controlled by us. These Third-Party Services are subject to their own terms of use. We do not control these services and are not responsible for the content of any linked site. A link to a Third-Party Service does not imply any endorsement, sponsorship, or affiliation with that service by Urbantasker. We advise you to use caution before accessing any Third-Party Services or engaging in transactions with third parties linked through the Services. Urbantasker is not liable under any circumstances for the technical availability of Third-Party Services, the content, ads, products, or services they offer, or for any transactions that occur between you and those third parties. Additionally, Urbantasker will not be involved in any disputes between you and third parties related to Third-Party Services.

Severability

• If any provision of this Agreement is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

Entire Agreement

• This Agreement constitutes the entire agreement between you and the Company regarding the use of the Platform and supersedes any prior agreements or understandings, whether written or oral.
