These Terms and Conditions ("Agreement") govern your use of UrbanTasker ("Platform") operated by UrbanTasker Technologies Inc ("Company"). By accessing or using the Platform, you agree to be bound by these terms and conditions. If you do not agree with any part of this Agreement, you must not use the Platform.

Description of Services

UrbanTasker offers a family of online services to match individuals and families with various service providers(called as "taskers"), including, but not limited to plumbers, hvac, electricians, snow removing services etc (collectively referred to as "Services"). UrbanTaskers's Services allows individuals and/or entities seeking home services to post their tasks and get quotes from the Service Providers("Taskers"). UrbanTaskers's Services also allow individuals and/or entities providing home services ("Taskers") to place their offers for the tasks on the Website to facilitate matching with those Users who are seeking services.

UrbanTasker's Services facilitate the matching of Service Seekers and Service Providers by providing search functions to allow Service Seekers to find the appropriate Tasker based on their preferences and needs. UrbanTasker's Service also involves providing a platform to facilitate the initial and ongoing communication between Service Seekers and Taskers ("Messaging Platform"). Through the Messaging Platform, Users can engage with one another without disclosure of their e-mail or phone number. UrbanTasker reserves the right to re-post a User's Service advertisement on external third-party websites for the purposes of ensuring exposure of the User's request and/or provision of Services. Any such re-posting on an external third-party websites will not include Personal Information (as defined below) of the Users.

UrbanTasker is not a party to the relationship between the Service Seeker and Tasker. UrbanTasker shall not, in any way, be liable to a Service Seeker or Tasker or any other third party, arising, either directly or indirectly from such employment or independent contractor agreement between the parties.

UrbanTasker does not verify, review, evaluate, interview, screen or perform any background checks on any of its Users or the content posted by the User on the Platform. You assume all risks associated with dealing with other persons whom you come in contact with through the Services of UrbanTasker's Platform.

Account Registration

• To use the Platform, you must register an account and provide accurate and complete information.
• You are responsible for maintaining the confidentiality of your account information and are fully responsible for all activities that occur under your account.
• You agree to promptly notify the Company of any unauthorized use of your account or any other breach of security.

User Conduct

• You agree to use the Platform in compliance with all applicable laws and regulations.
• You shall not engage in any activity that may interfere with or disrupt the Platform or the services provided through it.
• You shall not use the Platform to transmit or distribute any harmful, unlawful, or inappropriate content.
• You are solely responsible for any content you post on the Platform, and you grant the Company a non-exclusive, royalty-free license to use, modify, and display such content.

Service Provider Listings

• Service providers are responsible for creating accurate and detailed listings for the services they offer.
• The Company does not endorse or guarantee the quality, suitability, or reliability of any service provider or their services.
• Service providers agree to provide their services in a professional and timely manner, adhering to any agreements made with users.
• You are solely responsible for background verification and due diligence of the service provider.

User Reviews and Ratings

• Users may leave reviews and ratings for service providers based on their experiences.
• Reviews and ratings must be honest, fair, and based on personal experiences.
• The Company reserves the right to moderate, remove, or edit reviews and ratings that violate these terms or are deemed inappropriate.

Payments and Fees

• Service providers may be required to pay fees to the Company for using the Platform or receiving leads.
• Users shall pay service providers directly for the services rendered.
• The Company is not responsible for any disputes or issues related to payments between users and service providers.

Intellectual Property

• The Platform and all its content, including but not limited to logos, trademarks, and software, are the property of the Company.
• You may not copy, modify, distribute, or use any content from the Platform without the prior written consent of the Company.

Provider Quotes

1. We expect our providers to engage and constructively discuss the customer requirements and then discuss directly on phone if required.
2. Any links to competitor platforms will be removed and warning will be issued to the account holder. Multiple warnings could lead to account suspension of the provider.

Termination

• The Company may terminate or suspend your access to the Platform at any time, without prior notice, for any reason.
• You may terminate your account by contacting the Company's support team.
• Termination of your account does not relieve you of any payment obligations incurred prior to termination.

Limitation of Liability

YOU ACKNOWLEDGE THAT ANY USE OF OR RELIANCE ON THIS WEBSITE OR THE SERVICES IS COMPLETELY AT YOUR OWN RISK.

UNDER NO CIRCUMSTANCES SHALL URBANTASKER("THE COMPANY) BE LIABLE TO YOU OR TO ANY OTHER PARTY, FOR ANY LOSSES, COSTS OR DAMAGES OF ANY KIND OR NATURE WHATSOEVER THAT ARE SUFFERED OR INCURRED IN ANY CONNECTION WITH THE USE OF (OR THE INABILITY TO USE) THE PLATFORM, SERVICES, OR ANY URBANTASKER CONTENT OR THIRD PARTY CONTENT (REGARDLESS OF THE FORM OF ACTION OR THEORY OF LIABILITY, INCLUDING FOR BREACH OF CONTRACT, TORT, NEGLIGENCE, EQUITY, STRICT LIABILITY, BY STATUTE OR OTHERWISE AND REGARDLESS OF THE OCCURRENCE OF A FUNDAMENTAL BREACH OR FAILURE OF ESSENTIAL PURPOSE).

UrbanTasker's Services facilitate the matching of Service Seekers and Service Providers by providing search functions to allow Service Seekers to find the appropriate Service Provider based on their preferences, needs, and location. UrbanTasker is not a party to THE RELATIONSHIP BETWEEN SERVICE SEEKER AND SERVICE PROVIDER, and shall not, in any way, be liable to a Service Seeker or Service Provider or any other third party, arising, either directly or indirectly from such employment or independent contractor agreement between the parties.

IN NO EVENT WHATSOEVER SHALL ANY OF URBANTASKER, ITS DIRECTORS, OFFICERS, EMPLOYEES, SHAREHOLDERS, AFFILIATES, AGENTS AND THIRD-PARTY CONTRACTORS, SUPPLIERS AND LICENSORS (COLLECTIVELY THE "COMPANY PARTIES") BE LIABLE FOR ANY SPECIAL, EXEMPLARY, PUNITIVE, CONSEQUENTIAL, INCIDENTAL OR INDIRECT DAMAGES OF ANY KIND OR NATURE WHATSOEVER THAT ARE SUFFERED OR INCURRED IN ANY CONNECTION WITH THE USE OF PLATFORM OR THE PROVISION OF THE SERVICES (INCLUDING IN ANY CONNECTION WITH THE TRANSMISSION OR DOWNLOADING OR STORAGE OF ANY DATA OR SUBMISSIONS TO OR FROM THE PLATFORM OR THE USE OF, OR RELIANCE ON, ANY URBANTASKER CONTENT OR OTHER INFORMATION OR DATA CONTAINED ON OR PROVIDED THROUGH THE PLATFORM, OR SERVICES, OR LOSS OF OR DAMAGE TO FILES OR DATA OR ANY COSTS OF RECOVERING OR REPRODUCING ANY FILES OR DATA OR LOSS OF USE OR LACK OF AVAILABILITY OF SERVICES OR ANY BUSINESS INTERRUPTION OR LOSS OF REVENUE OR PROFIT OR ANY OTHER ECONOMIC LOSS WHATSOEVER) HOWEVER CAUSED AND REGARDLESS OF THE FORM OR CAUSE OF ACTION AND WHETHER OR NOT FORESEEABLE, EVEN IF THE URBANTASKER PARTIES OR ANY OF THEM HAS BEEN INFORMED IN ADVANCE OR OUGHT REASONABLY TO HAVE KNOWN OF THE POTENTIAL FOR SUCH DAMAGES.

Indemnification

You agree to indemnify and hold UrbanTasker, its parents, subsidiaries, affiliates, officers and employees, harmless from any claim, demand, or damage, including reasonable legal fees, asserted by any third party due to or arising out of the Users use of or conduct respecting the Services, and Platform.

Modifications

• The Company reserves the right to modify or update this Agreement at any time without prior notice.
• Any modifications to this Agreement will be effective immediately upon posting on the Platform.
• Your continued use of the Platform after any modifications constitute your acceptance of the modified Agreement.

Privacy

• The Company respects your privacy and handles your personal information in accordance with its Privacy Policy.
• By using the Platform, you consent to the collection, use, and disclosure of your personal information as described in the Privacy Policy.

Governing Law and Jurisdiction

• This Agreement shall be governed by and construed in accordance with the laws of Ontario, Canada.
• Any disputes arising from or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts located in Ontario, Canada.

Severability

• If any provision of this Agreement is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

Entire Agreement

• This Agreement constitutes the entire agreement between you and the Company regarding the use of the Platform and supersedes any prior agreements or understandings, whether written or oral.
